AMERICA ONLINE AND YELLOWPAGES.COM ANNOUNCE STRATEGIC AGREEMENT

DULLES, Va. and PASADENA, Calif., | Wednesday, June 08, 2005

America Online, Inc., the world's leading interactive services company, and YELLOWPAGES.COM, the fastest growing Internet Yellow Pages distribution network, today announced an agreement to feature YELLOWPAGES.COM, SBC SMARTpages.com® and BellSouth® RealPages.com® advertisers on AOL® Yellow Pages.

Under the agreement, YELLOWPAGES.COM, a joint venture between SBC Yellow Pages and BellSouth Advertising and Publishing Corporation, will have advertiser listings integrated, hosted and displayed within the AOL Yellow Pages product carried across the AOL® Service, AOL.com® and the Netscape® and CompuServe® services. The agreement enables YELLOWPAGES.COM to provide added value to its large advertiser base by allowing them to reach more new customers. AOL Yellow Pages will gain superior advertiser content for their online yellow pages directory.

The Kelsey Group estimates that 70 percent of U.S. households today use the Internet as an information source when shopping locally for products and services.

AOL Yellow Pages is a popular online yellow pages product that provides listings and information for more than 13 million businesses and points of interest throughout the country as well as content from AOL® CityGuide, the Web's number one local entertainment guide. YELLOWPAGES.COM advertisers' listings will supplement AOL Yellow Pages content, giving AOL's audience of tens of millions of consumers' access to the most comprehensive yellow pages data available on the Internet to quickly find local information where they live, work and travel throughout the country.
